ARTICLE I: NAME AND PURPOSE Section 1: The name of this organization is the River City Rascals Booster Club, a not-for-profit organization of the State of Missouri. Section 2: The purpose for which this organization is formed is to provide programs for the assistance to the needs of the players of the River City Rascals professional baseball club and to increase fans' enjoyment of minor-league baseball. Section 3: The name of this organization will automatically change to coincide with the name of the baseball club, if such change should occur, without formal amendment to the Constitution and Bylaws. ARTICLE II: MEMBERSHIP Section 1: Any person may become an active member of this organization upon their application, payment of dues, and compliance with such requirements as may be set forth in the Bylaws. However, a person shall be a member only during and for that period in which their dues are paid. Section 2: Any business/organization may become an active, non-voting member of this organization upon their application, payment of dues, and compliance with such requirements as may be set forth in the Bylaws. However, a business/ organization shall be a member only during and for that period in which their dues are paid ARTICLE III: OFFICERS AND PLANNING BOARD Section 1: The officers of this organization shall be a President, Vice President, Secretary, Treasurer, and Sergeant at Arms. No more than one office shall be held by any one person. No more than two persons per household shall hold elected office concurrently nor may members of the same household be elected to office at the same time. The Treasurer and President shall not be from the same household or immediate family, i.e. spouse, child, parent, or sibling. Section 2: The Planning Board shall constitute the governing body of this organization. The Planning Board shall consist of the elected officers and the chairpersons of each committee appointed by the President. Section 3: The Planning Board shall be responsible for the management of this organization and control over the policy and of any and all property acquired. Section 4: The officers shall perform the duties incumbent upon their respective offices subject to the limitations and authority set forth by any regular adopted Bylaws of this organization. Section 5: Any officer may be removed from office for conduct unbecoming an officer by 2/3 vote of members present at a regular or called membership meeting. ARTICLE IV: ELECTIONS Section 1: All officers shall be elected at the November meeting by vote of those members present whose dues are paid in full. Terms of office shall be for two years effective January 1 following the date of their election. The President, Secretary, and Sergeant at Arms shall be elected in the even number years and the Vice President and the Treasurer shall be elected in the odd number years. Section 2: Any vacancy of the office of President shall be filled by the Vice President. Section 3: Any vacancies of the Vice President, Secretary, Treasurer, and Sergeant at Arms shall be filled by majority vote of members present at the next scheduled meeting following any vacancy of office for the balance of the un-expired term. Should the office of Vice-President, Secretary, Treasurer, or Sergeant at Arms become vacant, the President may temporarily appoint a member in good standing to any vacant position, who shall carry on the duties of that office until the next scheduled meeting, at which the vacancy shall be filled by election of someone to finish out the term of the vacating officer. ARTICLE V: MEETINGS Section 1: All meetings shall be governed by Roberts Rules of Order, unless otherwise specified. Section 2: Regular meetings of the general membership shall be held at least once per calendar quarter at a time and place to be determined by the President and approved by the Planning Board. The notification of the time and place of the meeting shall be sent to the membership by regular U.S. mail postmarked two weeks before the time of the meeting. No less than ten (10) voting members other than the officers shall be present before any action then shall be considered official or binding. Section 3: Any other meeting may be held upon call of the President, upon designation of time and place thereof. The meeting will be announced at a regular meeting, in the press, (Suburban Journals and St. Charles County Post) and by e-mail where applicable at least three (3) days previous thereto. No less than ten voting (10) members other than the officers shall be present before any action then shall be considered official or binding. ARTICLE VI: ADOPTION AND AMENDMENT OF CONSTITUTION Section 1: This constitution shall be deemed adopted by two-thirds (2/3) vote of the members in good standing and present at the regular membership meeting. Section 2: This constitution may be amended only by two-thirds (2/3) vote of the members in good standing and present at the regular membership meeting.
